VASBYT SOLUTIONS — TERMS OF SERVICE

1. Software Services
Vasbyt Solutions (Pty) Ltd provides digital agricultural management software through a collection of specialised applications designed for commercial farm operations.
The paid suite currently includes:
- ✓ VasbytPG — Spray & Fertilizer Management
- ✓ VasbytFlow — Irrigation Management
- ✓ VasbytWork — Orchard Activities & Labour Management
- ✓ VasbytCrop — Harvest Management
- ✓ VasbytFuel — Fuel Tracking & Vehicle Management
- ✓ VasbytSign — Digital Documents & Signatures
VasbytMark is a separate free farmers marketplace provided to facilitate direct communication between independent buyers and sellers, governed under Section 6 of these Terms.
2. User Accounts
Each user must use their own registered Vasbyt account. Users must provide accurate and complete registration information and maintain its accuracy.
Users are solely responsible for maintaining the security and confidentiality of their login credentials. Individual login credentials must not be shared between users under any circumstances. Any activity conducted under a user's account credentials remains the responsibility of that account holder.
3. Subscriptions & Billing
The Vasbyt paid subscription costs:
One subscription gives the registered user access to the complete paid Vasbyt application suite. Subscriptions are billed per user and not per farm.
Each farm owner, manager, or other person requiring access to paid Vasbyt applications requires their own active subscription. Paid subscriptions renew automatically every month unless cancelled by the user.
Payments are processed securely through the authorised payment provider PayFast. Recurring monthly billing only begins after the user actively authorises payment through PayFast. The applicable price, billing frequency, and terms are clearly shown prior to payment authorisation.
4. 14-Day Free Trial
Eligible new users receive a 14-day free trial of the paid Vasbyt suite upon account creation. No payment method or credit card is required to begin the free trial.
No Automatic Conversion: The 14-day free trial does not automatically convert into a paid subscription. Users are never automatically charged upon the expiration of their free trial.
Active Payment Authorisation Required: Recurring monthly billing only begins after the user actively authorises payment through PayFast. The paid subscription costs R100 per user per month, VAT included (R86.96 excl. VAT + R13.04 VAT = R100.00). Once payment is actively authorised, the subscription renews automatically on a monthly basis until cancelled.
If the 14-day free trial ends without active payment authorisation, access to paid applications is simply restricted, while all farm and user records remain preserved. Users may cancel at any time via online account billing settings or by contacting [email protected]. Users who cancel before authorising payment will never be charged.
5. Farm Owners & Managers
Farm owners may invite registered Vasbyt users to join their farm as managers where supported. Managers access the farm using their own registered Vasbyt account.
An owner's R100 subscription does not cover their managers. Access to paid applications requires the manager's own active Vasbyt subscription after any applicable free trial.
The farm owner controls manager access and may revoke that access at any time.
6. VasbytMark Farmers Marketplace
VasbytMark is free with 0% commission. A paid Vasbyt subscription is not required to access or use VasbytMark.
VasbytMark facilitates direct communication between independent buyers and sellers of agricultural produce. Vasbyt Solutions (Pty) Ltd:
- Is not the buyer or seller of produce;
- Does not broker produce transactions;
- Does not process or collect payments between buyers and sellers; and
- Does not provide escrow services.
VasbytMark does not process payments between buyers and sellers. Buyers and sellers remain solely responsible for their own transactions, agreements, produce quality, quantities, pricing, direct payment settlement, logistics/delivery, and transaction terms.
7. Agricultural Information & User Responsibility
Vasbyt provides software tools for recording, organising, calculating, and managing agricultural information. Users remain strictly responsible for verifying all information relevant to actual farm operations.
Where applicable, this includes:
- Registered chemical uses and statutory product labels;
- Chemical spray application rates and tank concentrations;
- Fertilizer application rates and soil nutrition programs;
- Withholding periods (WHP) and pre-harvest intervals (PHI);
- Equipment calibration, tractor speeds, and nozzle setups;
- Irrigation volumes, runtimes, and pump pressures; and
- Statutory agricultural, environmental, and occupational health and safety requirements.
Vasbyt software does not replace legally required product instructions, manufacturer labels, or professional agronomical advice. Nothing in these Terms attempts to exclude liability that legally cannot be excluded under South African consumer law.
8. Service Availability & Data Backups
Vasbyt aims to provide reliable software services but cannot guarantee uninterrupted, error-free availability. Interruptions may occur due to scheduled maintenance, technical faults, internet connectivity, hosting infrastructure, payment gateways, or other third-party dependencies.
Users should maintain appropriate local copies and exports of operationally critical farm records.
9. Cancellation & Data Retention
Users may cancel their paid subscription at any time by sending a cancellation request to [email protected] or [email protected]. Future recurring subscription payments will stop once cancellation is confirmed by the payment provider (PayFast).
Paid access continues until the end of the current paid billing period, subject to applicable law.
Cancelling a subscription does not automatically delete the user's Vasbyt account or historical farm records. Existing farm records (including orchards, spray records, fertilizer applications, irrigation records, worker and labour records, harvest records, fuel records, and documents) are retained for resubscription so users can resume using their existing data upon resubscribing, subject to our Privacy Policy and applicable law. Vasbyt does not guarantee permanent or indefinite data retention.
Account deletion is treated as a separate request from subscription cancellation. Complete cancellation and refund terms are set out in our dedicated Cancellation Policy and Refund & Dispute Policy.
10. Governing Law & Jurisdiction
These Terms of Service and any dispute arising from them are governed by and construed in accordance with the laws of the Republic of South Africa, subject to applicable mandatory consumer legislation (including the Consumer Protection Act, 2008 and Protection of Personal Information Act, 2013).
